Terms of Service

Effective date: October 9, 2026 · Version v2026-10-09

These Terms of Service (the “Terms”) are an agreement between you and Cache CRM (“Cache”, “we”, “us”), a product of SoCal Cleaner, LLC, covering your use of the Cache web application, mobile applications, public portals and the cachecrm.com website (together, the “Service”). Read them before you use the Service. Our Privacy Policy, SMS Terms & Conditions, Data Processing Addendum and Sub-processor List are part of this agreement.

1. Acceptance and how this agreement is formed

You accept these Terms by checking the acceptance box presented to you when you create an account, when you accept an invitation to join a Workspace, and when you create a Workspace. We record each acceptance server-side: the version of these Terms you accepted, the date and time, a hashed form of your IP address, and your browser or device user agent. That record is how we and you can both establish later what was agreed and when.

If you are accepting on behalf of a company, partnership or other organization, you represent that you are authorized to bind it, you must give us its legal entity name during workspace setup, and “you” and “Customer” mean that organization. If you do not agree to these Terms, do not create an account, do not join a Workspace and do not use the Service.

When we publish a new version of these Terms, we will ask you to accept it again inside the application. Continued use after we ask, without accepting, is not agreement — we may limit access until the current version is accepted.

2. Eligibility and territory

The Service is for business use only. You must be at least 18 years old and capable of forming a binding contract. The Service is not offered to consumers for personal, family or household purposes, and it is not directed to minors.

The Service is offered from the United States and is intended for customers located in the United States. We make no representation that the Service is appropriate or available in other locations, and you are responsible for complying with local law if you access it from elsewhere. You represent that you are not located in, and are not acting on behalf of anyone located in, a country subject to U.S. embargo, and that you are not on any U.S. government restricted-party list.

3. Accounts and Workspaces

Cache is multi-tenant. Each customer operates in an isolated tenant called a Workspace. The Workspace is the customer under this agreement. The legal entity named during workspace setup, by the person who accepted these Terms on its behalf, is bound by them and is responsible for everything that happens inside that Workspace — including the acts of every user it invites.

4. Acceptable use

You agree not to, and not to permit anyone else to:

4.1 Messaging compliance is your responsibility

Cache gives you the ability to send SMS and email to your own customers. You are the sender. The legal duty to send lawfully is yours, not ours. You represent and warrant that, for every message you send through the Service:

We may suspend messaging for a Workspace immediately, without notice, if we or our carriers detect non-compliant traffic, excessive spam complaints, or high opt-out rates. Carriers may independently filter, block or terminate traffic; we cannot override that. Your indemnity for messaging is in Section 14(a), and it is the allocation on which we make these features available to you at all.

4.2 Prohibited categories of data

The Service is not designed for and must not be used to collect, store or transmit: protected health information as defined by HIPAA; information subject to the Gramm-Leach-Bliley Act; payment card data other than through Stripe as described in Section 5; government-issued identification numbers; biometric identifiers; or information about individuals under 18. We are not a HIPAA business associate, we will not sign a business associate agreement, and we have no obligations under HIPAA with respect to anything you put into the Service. If you place prohibited data in the Service you do so at your own risk, you are solely responsible for it, and we may remove it or suspend your Workspace.

5. Fees

Cache is currently free. There is no subscription fee and no payment method is required to create a Workspace. When paid plans launch we will give at least 30 days' notice by email and in the application and require your affirmative consent before charging you. We will show you the price and the billing period before you agree, and we will not convert a free Workspace to a paid plan silently.

Separately, when your customers pay by card through Stripe Connect, the card processing rate shown in your Billing settings INCLUDES a Cache platform fee of 1% of the transaction; Stripe's own fees are the remainder. The rate you see in Settings is an all-in rate covering both. We may change this rate with 30 days' notice by email and in the application. When you refund a transaction, our platform fee is refunded proportionally.

Card payments are processed by Stripe and are subject to Stripe's own terms. Cache does not store card numbers; we store Stripe tokens and identifiers, the card brand, the last four digits and the expiry only. Funds from your customers settle into your own Stripe connected account: you are the merchant of record for those charges, Cache does not hold or move your money, and Stripe's processing fees, chargeback fees, disputes and refunds arising from your transactions are yours. Amounts you charge your customers are your revenue and your obligation to deliver against.

6. Messaging and telephony

SMS and voice are delivered by Twilio; email is delivered by Resend. By using those features you also agree to the acceptable use policies of those providers.

What the Service does on your behalf, and what it does not:

These platform features help you comply. They do not make us the sender, they do not transfer your obligations to us, and they are not a warranty that your program is lawful.

6.1 Call recording

Call recording is off unless a Workspace administrator turns it on. When recording is on, the Service by default plays a recording announcement to the other party before recording begins. A Workspace administrator may turn that announcement off. If you do, you represent that you have independently satisfied every notice and consent requirement that applies to you and to each person you call, including all-party-consent laws such as California Penal Code § 632, and you accept sole responsibility for that choice. You are also responsible for keeping the announcement text accurate. Section 14(a) applies to any claim arising from calls you record.

7. Your data and our role

You own your data. All contacts, leads, jobs, messages, estimates, invoices and other content that you or your team put into your Workspace (“Customer Data”) remain yours. We claim no ownership of it.

You grant us a limited, non-exclusive licence to host, copy, transmit, display and process Customer Data solely to operate and support the Service for you, to keep backups, and to comply with law. With respect to Customer Data, Cache acts as a processor (and a service provider under California law) and you are the controller (and business): you decide what to collect, why, and from whom, and you are responsible for having the legal right to put it in the Service and for the accuracy of it. Our processing commitments are set out in the Data Processing Addendum, which is incorporated into these Terms and applies automatically — no separate signature is needed. Our sub-processors are listed at cachecrm.com/subprocessors, and we will give at least 30 days' notice before adding one.

You may export your Customer Data at any time while your Workspace is active. On termination, we will make it available for export for 30 days. After that window we delete or de-identify Workspace content within 60 days, and residual copies age out of encrypted backups within 90 days of deletion, except where we must keep records longer to comply with legal, tax or telecommunications obligations. Retention by category is set out in the Privacy Policy.

8. Intellectual property

The Service — its software, design, interfaces, documentation, and the Cache name and marks — is owned by us and our licensors and is protected by intellectual property law. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your internal business purposes for as long as your Workspace is active. Nothing else is granted, and all rights not expressly granted are reserved. If you send us feedback or suggestions, we may use them without obligation or compensation to you.

9. Third-party integrations and AI features

You may connect optional third-party services — including Slack, Discord, Google Calendar, Google Sheets, QuickBooks, ConnectTeam, Zapier and other webhook destinations you configure. Those services are not ours. Your use of them is governed by their terms, and we are not responsible for their availability, security or handling of data you send them.

AI features. Some automation actions can send message text and contact fields to a third-party AI provider — Anthropic, Google (Gemini), OpenAI or xAI. This happens only when your Workspace enables an AI integration and supplies its own API key for that provider. It is off by default. When you enable one, you are contracting with that provider directly, its terms and its retention practices govern what it does with the content you send, and you should confirm those terms are appropriate for the consumer data you process. Cache does not train models on Customer Data and does not supply a shared platform key.

AI output is generated automatically and may be inaccurate, incomplete or unsuitable. You are responsible for reviewing AI-generated content before it is sent to a customer or relied on for a business decision, and you remain responsible for every message sent from your Workspace regardless of whether a person wrote it or a model generated it.

9.1 AI assistants

If you enable an AI assistant that talks or texts with your customers, it identifies itself as automated at the start of each conversation. You will not instruct it to claim to be a human, and you remain responsible for its statements under Section 9.

10. Early-access service, and no service level agreement

Cache is offered as an early-access service while we complete the product. It is provided free of charge and without any commitment as to availability, performance, feature completeness or data durability. Features may change, be delayed or be removed. Some capabilities described on our website or in our documentation are in development and may not be available in your Workspace. Export your data regularly and keep your own copy of anything you cannot afford to lose. Your sole remedy for dissatisfaction with the Service is to stop using it and export your data.

No service level agreement. We do not offer an uptime commitment, service credits, or a support response-time guarantee, and none is implied by any statement on our website or in any communication. We provide support on a commercially reasonable basis during U.S. business hours. If we ever offer a service level agreement it will be a separate written document signed by us.

11. Suspension and termination

You may cancel your Workspace at any time by emailing support@cachecrm.com from an administrator address on the account. We will confirm, make your data available for export for 30 days, and complete deletion on the schedule in Section 7 — in every case within 30 days of your request for the cancellation itself to take effect. We may suspend or terminate access if you materially breach these Terms, if your account is used for unlawful or abusive activity, if your messaging traffic is non-compliant, if payment is unresolved, or if required by law or by a provider we depend on. Where practical, we will give notice and an opportunity to cure. Sections that by their nature should survive termination — ownership, disclaimers, limitation of liability, indemnity, arbitration and governing law — survive.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements, nor that messages will be delivered, nor that data will never be lost. Cache does not provide legal, tax, accounting or telecommunications-compliance advice; nothing in the Service or on this site is such advice.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, BUSINESS INTERRUPTION OR LOST OR CORRUPTED DATA, EVEN IF ADVISED OF THE POSSIBILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). These limits do not apply to your indemnity obligations under Section 14(a), your payment obligations, or to liability that cannot be limited by law.

14. Indemnity

(a) Your indemnity. You will defend, indemnify and hold harmless Cache, SoCal Cleaner, LLC and their officers, employees and agents from any claim, demand, loss, liability, fine or expense (including reasonable legal fees) arising out of or related to: your Customer Data; your use of the Service; your messages and calls, including any claim under the TCPA, CAN-SPAM, a state mini-TCPA statute or other messaging law, and any carrier or regulatory penalty arising from your traffic; your breach of these Terms; or your violation of any law or third-party right.

(b) Our indemnity. We will defend you against any third-party claim that the Service, used as permitted by these Terms, infringes that third party's U.S. patent, copyright or trademark, and we will pay damages finally awarded or agreed in settlement. This does not apply to claims arising from your Customer Data, from your use of the Service in combination with anything we did not supply, from a modified version of the Service, or from your continued use after we told you to stop. If the Service becomes, or we believe it may become, the subject of such a claim, we may procure the right for you to keep using it, modify it, or terminate it and refund any prepaid unused fees. This is our entire liability and your exclusive remedy for infringement.

(c) Procedure. The party seeking indemnity must notify the other promptly, give it sole control of the defense, and cooperate reasonably. No settlement that admits fault or imposes an obligation on the indemnified party may be made without that party's consent.

15. Disputes, arbitration and class-action waiver

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules.

(a) Informal resolution first. Before starting an arbitration, you agree to send a written description of the dispute to support@cachecrm.com and to give us 30 days to resolve it. We will do the same for any dispute we have with you.

(b) Binding individual arbitration. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, or its Consumer Arbitration Rules where those apply, before one arbitrator, seated in Los Angeles County, California. The Federal Arbitration Act governs this section. The arbitrator decides all issues except that a court decides the enforceability of subsection (c). Judgment on the award may be entered in any court of competent jurisdiction.

(c) Class-action waiver. Disputes will be arbitrated only on an individual basis. Neither party may bring a claim as a plaintiff or class member in a class, collective, consolidated or representative proceeding, and the arbitrator may not consolidate claims or preside over any form of representative proceeding. If this subsection is found unenforceable as to a particular claim, that claim — and only that claim — will be severed and heard in the courts identified in subsection (e).

(d) 30-day opt-out. You may opt out of subsections (b) and (c) by emailing support@cachecrm.com with the subject line “Arbitration Opt-Out”, from the address on your account, within 30 days of first accepting these Terms. Opting out costs you nothing and affects nothing else in these Terms.

(e) Exceptions and forum for non-arbitrable claims. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for misuse of intellectual property or confidential information. For any claim that is not subject to arbitration, the exclusive venue is the state and federal courts located in Los Angeles County, California, and both parties consent to personal jurisdiction there.

(f) Enforceability. Arbitration and class-waiver clauses are not enforced identically in every court, and some claims cannot be arbitrated at all. If any part of this section is held unenforceable, the rest of it stays in force to the extent the law allows, and anything that cannot be arbitrated goes to the courts named in subsection (e).

16. Changes to these Terms

We may update these Terms. We will post the revised version here with a new effective date and version string. For material changes we will give account holders at least 30 days' notice, by email and in the application, and we will ask you to accept the new version inside the application before you continue. Non-material changes — corrections, clarifications, new contact details — take effect when posted. If you do not accept a revised version, stop using the Service, export your data, and cancel your Workspace under Section 11.

17. General

Entire agreement. These Terms, with the Privacy Policy, SMS Terms, Data Processing Addendum and Sub-processor List, are the entire agreement between us on this subject and supersede prior discussions, proposals and marketing statements.

Severability and waiver. If any provision is found unenforceable, it is limited or severed to the minimum extent necessary and the rest stays in effect. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition or sale of assets. Any other attempted assignment is void.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including carrier outages and filtering, failures of Twilio, Resend, Stripe, Google or other infrastructure providers, internet or power failure, natural disaster, labor dispute, act of war or terrorism, and government action. This does not excuse payment obligations.

Relationship and notices. The parties are independent contractors; nothing here creates a partnership, agency or employment relationship. Except as stated in Section 17.1, there are no third-party beneficiaries. We may send notices to the email address on your account; you send notices to us at support@cachecrm.com or the postal address in Section 19.

17.1 Apple

If you use our iOS app: these Terms are between you and Cache, not Apple. Apple has no obligation to provide maintenance or support for the app, and no warranty responsibility for the app beyond any refund of the purchase price (which is zero). Apple is not responsible for any product-liability, legal-compliance or intellectual-property claim relating to the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you with respect to your use of the iOS app.

18. Copyright complaints

If you believe content in the Service infringes your copyright, send a notice under 17 U.S.C. section 512(c)(3) to support@cachecrm.com with the subject line “DMCA Notice”, or by post to Cache CRM, c/o SoCal Cleaner, LLC, 20208 State Rd, Cerritos, CA 90703. Your notice must identify the work, identify the material and where it is, give your contact details, and include the statements of good faith and accuracy the statute requires. We will remove or disable access to infringing material and may terminate the accounts of repeat infringers. To submit a counter-notice, write to the same address.
